1. Introduction & Acceptance of Terms
These Terms of Service ("Terms") govern your use of the services provided by SEO Digital Solutions ("we," "us," "our," or "the Company"). By engaging our services, signing a service agreement, submitting a payment, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our services.
SEO Digital Solutions reserves the right to update or modify these Terms at any time. Material changes will be communicated to active clients via email or through a notice on our website. Continued use of our services following any changes constitutes acceptance of the updated Terms.
In these Terms, "Client," "You," and "Your" refer to the individual or legal entity engaging our services. The term "Services" refers to all products, platforms, deliverables, consultations, and ongoing work provided by SEO Digital Solutions.
2. Services Provided
SEO Digital Solutions offers the following professional services to law firms and legal organizations:
- Search Engine Optimization (SEO): Including but not limited to keyword research and strategy, on-page optimization, technical SEO audits and remediation, content strategy and creation, link building and authority development, local SEO and Google Business Profile optimization, and ongoing performance monitoring and reporting.
- Artificial Intelligence (AI) Solutions: Including but not limited to AI-powered intake systems (Legalyze), demo and presentation platforms (PitchPilot), custom AI automation systems, chatbot and voice agent development, document processing and workflow automation, and CRM integration with AI capabilities.
- Web Design & Development: Including but not limited to law firm website design and development, landing page creation, website migration, redesign, and ongoing maintenance and hosting coordination.
- Digital Marketing: Including but not limited to content marketing, social media strategy, email marketing automation, conversion rate optimization, and marketing analytics and reporting.
- Lead Generation: Including but not limited to lead capture form implementation, consultation booking systems, call tracking and attribution, and lead qualification workflows.
The specific scope of services, deliverables, timelines, and fees for each engagement will be detailed in a separate Service Agreement, Statement of Work (SOW), or proposal accepted by the Client. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall control.
3. Client Responsibilities
To ensure the successful delivery of our services, the Client agrees to:
- Provide accurate, complete, and timely information about their law firm, practice areas, target markets, competitive landscape, and business goals as reasonably requested.
- Grant SEO Digital Solutions necessary access to website hosting, domain management, Google Analytics, Google Search Console, Google Business Profile, social media accounts, CRM systems, and other platforms required to perform the agreed services. Client is responsible for maintaining their own credentials and notifying us of any access changes.
- Designate a primary point of contact who has the authority to make decisions, provide approvals, and coordinate internal resources needed for the engagement.
- Review and approve deliverables within agreed-upon timeframes. Delays in Client approvals may impact project timelines and are not the responsibility of SEO Digital Solutions.
- Ensure that all Client-provided content, images, logos, trademarks, and materials do not infringe upon any third-party intellectual property rights, and that the Client has all necessary permissions and licenses to use such materials in connection with our services.
- Comply with all applicable laws, regulations, and professional rules — including state bar advertising rules and ethics guidelines — in connection with the marketing content and strategies we develop together. While we make every effort to ensure compliance, ultimate responsibility for adherence to bar rules and legal ethics rests with the Client.
- Maintain confidentiality of any proprietary information, strategies, or deliverables shared by SEO Digital Solutions during the course of the engagement.
4. Payment Terms
Fees for services will be set forth in the applicable Service Agreement, SOW, or proposal. The following general payment terms apply unless otherwise specified in a signed agreement:
- Recurring Services: Monthly retainers for ongoing services (such as SEO, content marketing, and AI system maintenance) are billed in advance on the first of each month. Payment is due within 15 days of invoice date unless otherwise agreed.
- Project-Based Services: One-time projects (such as website design, AI system development, and audits) typically require a deposit — usually 50% of the total project fee — to begin work, with the remaining balance due upon project completion and delivery. Specific payment milestones will be outlined in the project proposal.
- Late Payments: Invoices not paid within the specified terms may be subject to a late fee of 1.5% per month or the maximum amount permitted by law. We reserve the right to pause or suspend services on accounts that are more than 30 days past due until the outstanding balance is resolved.
- Payment Methods: We accept payment via bank transfer (ACH), credit card, and check. Credit card payments may be subject to a processing fee of up to 3%.
- Taxes: All fees quoted are exclusive of applicable taxes. The Client is responsible for any sales, use, or similar taxes imposed on the services, unless the Client provides a valid tax exemption certificate.
- Rate Changes: For ongoing retainer services, we reserve the right to adjust rates with 60 days written notice. Rate changes will not apply to fixed-fee projects already in progress.
5. Intellectual Property
The following intellectual property terms apply to all engagements:
- Client Materials: All content, logos, trademarks, images, and materials provided by the Client remain the exclusive property of the Client. The Client grants SEO Digital Solutions a limited, non-exclusive license to use such materials solely for the purpose of performing the agreed services.
- Deliverables: Upon full payment for a project or service period, the Client receives a perpetual, non-exclusive license to use the deliverables created specifically for that Client. This includes website designs, custom content, AI system configurations, and other project-specific outputs. However, the underlying methodologies, code libraries, frameworks, tools, templates, and proprietary technologies used to create those deliverables remain the intellectual property of SEO Digital Solutions.
- Proprietary Technology: Legalyze, PitchPilot, and any other branded platforms, AI models, algorithms, software, frameworks, tools, processes, methodologies, training data, and know-how developed by SEO Digital Solutions — whether before, during, or after the Client engagement — remain the exclusive intellectual property of SEO Digital Solutions. The Client receives a license to use these technologies as part of the delivered service, not ownership of the underlying technology.
- Portfolio Rights: Unless otherwise agreed in writing, SEO Digital Solutions reserves the right to display the Client's name, logo, and a general description of the work performed in our portfolio, website, case studies, and marketing materials. We will not disclose confidential information or specific performance data without the Client's prior written consent.
- Third-Party Components: Some deliverables may incorporate third-party software, libraries, or services (such as WordPress plugins, API integrations, or licensed fonts). Usage of these components is subject to their respective licenses, and SEO Digital Solutions makes no warranty regarding third-party components.
6. Confidentiality
Both parties acknowledge that during the course of the engagement, each may receive or have access to confidential information belonging to the other. "Confidential Information" includes, but is not limited to: business strategies, marketing plans, client lists, case data, financial information, proprietary methodologies, source code, technical specifications, trade secrets, and any information designated as confidential by the disclosing party.
Each party agrees to:
- Use Confidential Information solely for the purpose of performing obligations under these Terms and the applicable Service Agreement.
- Not disclose Confidential Information to any third party without the disclosing party's prior written consent, except as required by law.
- Implement reasonable security measures to protect Confidential Information from unauthorized access, disclosure, or use.
- Return or destroy all Confidential Information upon the disclosing party's written request or upon termination of the engagement, whichever occurs first.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already in the receiving party's possession without confidentiality restrictions prior to disclosure; (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the receiving party gives the disclosing party prompt notice and reasonable opportunity to contest such disclosure.
These confidentiality obligations survive termination of the engagement for a period of three (3) years, or indefinitely for trade secrets.
7. Limitation of Liability
To the fullest extent permitted by applicable law:
- Disclaimer of Warranties: Our services are provided on an "as is" and "as available" basis. While we strive for excellence in every engagement, SEO Digital Solutions makes no warranties, express or implied, regarding specific outcomes, search engine rankings, traffic volumes, lead volumes, case volumes, revenue increases, or any other specific business results. SEO and digital marketing outcomes are influenced by numerous factors beyond our control, including but not limited to search engine algorithm changes, competitive activity, market conditions, and Client-specific factors.
- No Guaranteed Rankings: SEO Digital Solutions does not and cannot guarantee specific search engine rankings, positions, or placements. Any statements regarding potential outcomes are estimates based on historical results and should not be interpreted as guarantees. We guarantee transparent, diligent, and professional work — not specific Google rankings.
- Cap on Liability: In no event shall SEO Digital Solutions' total liability to the Client for any and all claims arising out of or relating to these Terms or the services provided exceed the total fees paid by the Client to SEO Digital Solutions during the twelve (12) months immediately preceding the event giving rise to the claim.
- Exclusion of Consequential Damages: In no event shall SEO Digital Solutions be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, lost revenue, lost business opportunities, lost data, or business interruption — even if advised of the possibility of such damages.
- Third-Party Services: SEO Digital Solutions is not liable for the performance, failures, or service interruptions of third-party platforms and services used in connection with our work, including but not limited to Google, hosting providers, domain registrars, CRM platforms, API services, and payment processors.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
8. Third-Party Services
Our services may involve the use of, integration with, or recommendation of third-party platforms, software, and services — including but not limited to Google (Search Console, Analytics, Ads, Business Profile), WordPress, hosting providers, CRM systems (Clio, MyCase), email marketing platforms, payment processors, domain registrars, and API services.
SEO Digital Solutions does not own, control, or warrant these third-party services. The Client's use of third-party services is subject to their respective terms of service and privacy policies. SEO Digital Solutions is not responsible for any issues, losses, or damages arising from the Client's use of third-party services, including but not limited to service interruptions, data loss, security breaches, changes to terms or pricing, or discontinuation of service.
Where we recommend specific third-party services, we do so based on our experience and assessment of their suitability for the Client's needs, but the Client retains final decision-making authority and assumes the associated risks.
9. Termination
The following termination provisions apply to all engagements unless a signed Service Agreement specifies otherwise:
- Termination by Client (Ongoing Services): For monthly retainer services, the Client may terminate with 30 days written notice. The Client remains responsible for payment for all services rendered through the effective termination date, including the 30-day notice period.
- Termination by SEO Digital Solutions (Ongoing Services): We may terminate ongoing services with 30 days written notice. In such cases, we will provide a reasonable transition plan and refund any prepaid fees for services not yet rendered.
- Immediate Termination: Either party may terminate immediately upon written notice if the other party materially breaches these Terms or the Service Agreement and fails to cure such breach within 15 days of receiving written notice describing the breach. Either party may also terminate immediately if the other party becomes insolvent, files for bankruptcy, or ceases business operations.
- Termination for Non-Payment: We reserve the right to suspend or terminate services immediately if the Client fails to pay invoices within 30 days of the due date, following at least one written reminder.
- Effect of Termination: Upon termination, the Client shall pay all outstanding fees for services rendered through the termination date. Each party shall return or destroy the other's Confidential Information as requested. Provisions regarding intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.
- Project-Based Services: For fixed-fee projects, termination terms — including any kill fees or partial refund calculations — will be specified in the project proposal or SOW.
10. Governing Law & Dispute Resolution
These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any dispute, claim, or controversy arising out of or relating to these Terms or the services provided shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Tampa, Florida, unless the parties mutually agree to a different location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including but not limited to the protection of intellectual property rights and confidential information.
The prevailing party in any arbitration or legal proceeding shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party.
